Terms of Service
The agreement between you and MemoBrain. Plain-language summary: use the product, own your content, don't abuse the service — and subscriptions follow the Refund Policy.
1. Acceptance of terms
MemoBrain is developed and operated by Qingdao Memobrain Technology Co., Ltd. ("we", "us", "our"). By downloading, installing, accessing, or using MemoBrain (the "Service"), you agree to these Terms of Service ("Terms"). If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Service.
2. The service
MemoBrain is a desktop-first diagramming and knowledge workspace (mind maps, flowcharts, architecture diagrams, knowledge base, and knowledge graphs) with optional AI assistance and online services.
- The desktop application is local-first: your documents live on your device. Online features (license validation, AI processing, and any cloud storage) require an internet connection.
- We may update the Service from time to time, including adding or removing features. We will make reasonable efforts to notify you of significant changes.
3. Accounts
- You must provide accurate registration information and keep your account credentials secure. You are responsible for activity under your account.
- One account is licensed for use by one person on devices you own or control, in accordance with your subscription tier.
- We may suspend or terminate accounts that violate these Terms.
4. Subscriptions, payments, and refunds
- Paid features are offered as subscriptions (quarterly, semi-annual, or yearly) with optional AI point packs. Payments are handled by our third-party payment provider at checkout; prices and any applicable tax are shown before you pay. We never receive or store your full card number.
- Subscriptions renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then.
- Refunds follow the Refund Policy: in short, yearly and semi-annual plans can be refunded in full, no questions asked, within 7 days of the charge; quarterly plans, subscriptions past the 7-day window, and consumed AI point packs are non-refundable.
- Prices may change for future billing periods; we will notify you before a price change takes effect.
5. Free version
We offer a free version with limitations (e.g., limited files, limited AI usage). The free version is subject to these Terms; we may change its limits at any time.
6. Acceptable use
You agree not to:
- Reverse engineer, decompile, or disassemble the Service, except as expressly permitted by applicable law;
- Circumvent, disable, or interfere with license validation, security, or rate-limiting mechanisms;
- Redistribute, resell, rent, or sublicense the Service or your license;
- Use the Service to store or transmit unlawful, infringing, or malicious content;
- Attempt to disrupt, overload, or gain unauthorized access to our servers or other users' data;
- Scrape, harvest, or systematically extract data from our website or services without permission.
7. Intellectual property
- The Service, including its software, design, icons, templates, documentation, and AI processing pipeline, is owned by us and protected by copyright and other laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service.
- Your documents and content remain yours. You retain all rights to content you create with the Service.
- You grant us a limited license to process your content solely to provide the Service (e.g., to run AI features).
- We may use aggregated, anonymized usage statistics for product improvement and marketing.
8. AI features
- AI features are provided "as is" and may produce inaccurate or unsuitable output. AI output does not constitute professional, legal, financial, or medical advice.
- You are responsible for how you use AI-generated content, including compliance with applicable law.
- AI-generated content is not guaranteed to be original; do not use it where unencumbered originality matters without review.
- Content you submit to official AI features is processed by third-party model providers as described in our Privacy Policy. If you use your own API key (BYOK), requests go directly from your device to the provider you configured.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) US$50.
11. Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.
12. Termination
- You may stop using the Service at any time and delete your account.
- We may suspend or terminate your access if you materially breach these Terms, without prejudice to other remedies.
- Upon termination for breach related to abuse, access ends immediately without refund. Subscriptions cancelled for other reasons follow Section 4.
13. Governing law and disputes
These Terms are governed by the laws of the People’s Republic of China, without regard to conflict-of-law rules. You and we agree to first attempt to resolve disputes informally; if not resolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the competent people’s court in the place where we are domiciled (Qingdao, Shandong, China). This does not limit mandatory consumer rights you may have under the laws of your place of residence.
14. Changes to these terms
We may update these Terms from time to time. Material changes will be announced on our website or by email at least 14 days before they take effect. Continued use after changes take effect constitutes acceptance.
